1. Acceptance of Terms

By accessing or using Property32 ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

Property32 is a software platform that provides property portfolio tracking and management tools. Our services include:

Property portfolio tracking and organisation
Financial calculators (mortgage, yield, cash flow, tax estimates)
Document storage and management
Expense and income tracking
Reporting and data visualisation
Goal progress tracking

The Service is provided as a software tool to help you organise and track your property investments. All calculations, projections, and data presentations are for informational purposes only.

3. No Professional Advice - IMPORTANT

Property32 IS A SOFTWARE TOOL, NOT AN ADVISORY SERVICE.

We do NOT provide, and nothing on our platform should be construed as:

Financial advice or recommendations
Investment advice or recommendations
Tax advice (only tax calculations with disclaimers)
Legal advice or recommendations
Property purchase or sale recommendations
Mortgage or lending advice
Any other professional advice

All calculations, projections, and data presented by the Service are estimates only and should not be relied upon for making financial decisions.

You must consult qualified professionals (financial advisers, accountants, solicitors, mortgage brokers) before making any financial, investment, tax, or legal decisions.

We are not licensed under the Australian Financial Services regime and do not hold an Australian Financial Services Licence (AFSL). We are not registered tax agents with the Tax Practitioners Board.

4. User Accounts

To use certain features of the Service, you must create an account. When creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorised use of your account

We may disable a user account on notice in the same circumstances set out in section 11 (Termination) — breach of these Terms, non-payment of fees, fraudulent or unlawful conduct, or where required by law.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Attempt to gain unauthorised access to the Service or its related systems
Interfere with or disrupt the Service or servers
Upload viruses or other malicious code
Collect or harvest user data without consent
Use the Service to send spam or unsolicited communications
Impersonate another person or entity
Use the Service in any way that could damage our reputation
Reverse engineer, decompile, or disassemble the Service
Resell or redistribute the Service without authorisation

6. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely for the purpose of providing the Service to you.

You are solely responsible for:

The accuracy and completeness of Your Data
Ensuring you have the right to share any data you upload
Maintaining backups of Your Data
Any decisions you make based on Your Data

7. Intellectual Property

The Service and its original content (excluding Your Data), features, and functionality are and will remain the exclusive property of Property32 and its licensors. The Service is protected by copyright, trademark, and other laws of Australia and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Disclaimers

Service provided "as is". Subject to the consumer guarantees carve-out in section 9, the Service is provided on an "as is" and "as available" basis. To the extent permitted by law, Property32 makes no warranties of any kind, express or implied, regarding the operation, accuracy, completeness, reliability, security, or availability of the Service.

Without limiting the consumer guarantees carve-out, Property32 does not warrant that:

the Service will function uninterrupted, secure, or be available at any particular time or location;
any errors or defects will be corrected;
the Service is free of viruses or other harmful components;
the results of using the Service will meet your requirements; or
any calculations, projections, or estimates are accurate.

9. Limitation of Liability

Australian Consumer Law carve-out. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) which cannot lawfully be excluded. To the extent permitted by law, our liability for breach of any non-excludable consumer guarantee is limited, at our option, to (i) the resupply of the services or (ii) the cost of resupply.

Limitation of liability. Subject to the consumer guarantees carve-out above, our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount paid by you to us in the twelve (12) months prior to the claim.

Excluded losses. To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, or use, arising from or related to your use of the Service.

10. Indemnification

You agree to indemnify Property32 against any third-party claims, losses or costs (including reasonable legal costs) arising directly from your breach of these Terms or your unlawful use of the Service. This indemnity does not apply to the extent the loss is caused by Property32's negligence or wrongful act.

11. Termination

We may suspend or terminate your account on notice if you breach these Terms, fail to pay fees due, engage in fraudulent or unlawful conduct, or where required by law. Where termination occurs without a defined trigger, we will provide a pro-rata refund of any prepaid fees.

Upon termination, your right to use the Service will cease. If you wish to terminate your account, you may do so by contacting us.

All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email and prominent in-product notice at least 30 days before they take effect. If you do not agree to the changes, you may terminate your account before the changes take effect and receive a pro-rata refund of any prepaid fees.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
